1. Terms and Conditions

1.1 General Introduction

These Terms and Conditions (“Terms”) govern all service transactions, website access, and business cooperation between [Your Company Name] (“we”, “us”, “our”) and all users and clients (“you”, “your”) who access our official website and purchase our software development services. By browsing our website, consulting our services, signing a cooperation agreement, or accepting our software development services, you confirm that you have read, understood, and fully agreed to abide by these Terms. If you do not accept any part of these Terms, you shall not use our website and related services.

We specialize in customized software development, web system development, mobile application development, software upgrade and maintenance, technical customization, and related IT consulting services. All services provided by us are subject to the constraints of these Terms and formal signed service contracts.

1.2 Service Description

We promise to provide professional, standard and compliant software development services in accordance with the service scope, functional requirements, delivery cycle and technical standards confirmed by both parties. All customized software products will be developed based on the detailed requirement document confirmed by the client. We reserve the right to adjust technical implementation schemes appropriately on the premise of not changing the core functions and service quality confirmed in the contract.

Any additional functional requirements, technical adjustments, demand changes proposed by the client after the confirmation of the development plan will be regarded as customized additional services, and both parties shall negotiate separately on adjustment of development cycle, service cost and delivery standards.

1.3 User Obligations

The client shall provide true, complete and legal demand information, business data, account permissions and other necessary materials required for software development in a timely manner, and actively cooperate with our team in demand confirmation, prototype verification, function testing, acceptance and other work links. Any development delay or function deviation caused by the client’s failure to provide materials on time, incorrect demand confirmation or delayed feedback shall be borne by the client itself.

The client shall not use the software products and technical services provided by us for illegal, infringing, fraudulent or other improper purposes, and shall abide by the laws, regulations and industry norms of the country/region where the client is located. Any legal liability and loss caused by the client’s improper use of the software shall be independently borne by the client.

1.4 Intellectual Property Rights

The pre-development technical framework, basic code, technical algorithms, tool components and other general technical resources independently developed and owned by us shall always belong to our intellectual property rights, and shall not be transferred to the client with the delivery of customized software products unless otherwise agreed in writing.

The customized software core functions, personalized code and project deliverables developed exclusively for the client shall be owned by the client after the full payment of the service fee. We reserve the right to use the project’s general technical experience and non-confidential technical data for subsequent technical research and service optimization.

Both parties shall keep confidential the other party’s trade secrets, technical secrets and business information involved in the cooperation, and shall not disclose, transfer or use them for third-party cooperation without written authorization.

1.5 Service Term and Termination

The service term shall be subject to the development cycle and after-sales maintenance period confirmed in the formal cooperation contract. After the completion of software delivery and client acceptance, we will provide free technical maintenance and after-sales service within the agreed warranty period.

We have the right to terminate the service cooperation immediately if the client has serious breach of contract, delayed payment for a long time, or illegal use of software services. The loss caused thereby shall be borne by the client. If we need to terminate the cooperation due to our reasons, we will refund the corresponding unused service fees and compensate for the direct losses stipulated in the contract.

2. Payment & Privacy Policy

2.1 Payment Policy

2.1.1 Payment Terms and Methods

All service fees of our software development projects are subject to the quotation and formal contract confirmed by both parties. The payment cycle is divided into installment payment according to project progress (including pre-payment before development, progress payment during development, final payment after acceptance) unless otherwise agreed separately. The client shall complete the payment within the time limit specified in the contract.

We support multiple international payment methods, including bank wire transfer, international credit card payment, PayPal and other formal cross-border payment channels. All payment records, invoices and billing documents will be sorted out and provided to the client as the basis for project settlement.

2.1.2 Late Payment and Fee Adjustment

If the client fails to pay the fee on time, the project development progress will be suspended automatically, and the delayed project cycle loss shall be borne by the client. We reserve the right to charge a reasonable late payment penalty in accordance with industry norms and contract agreements.

For additional customized requirements, technical upgrades, function expansion and other incremental services, the fee standard will be re-quoted according to the actual workload, and the client can start the service after confirming and paying the fee.

2.2 Privacy Policy

2.2.1 Information Collection Scope

In order to provide professional software development consulting, project docking, technical service and after-sales maintenance services, we will only collect necessary user information, including: your name, company name, contact information, business demand information, project cooperation data, and other information you actively provide to us. We will not actively collect your sensitive private information without authorization.

2.2.2 Information Use and Protection

All collected user information is only used for project communication, service delivery, technical support, after-sales maintenance and customer follow-up services, and will not be sold, rented or disclosed to any third-party institutions or individuals without your explicit written consent.

We adopt international standard data encryption technology, server security protection measures and internal data management system to fully protect your business data, personal information and project confidential data, prevent data leakage, tampering, loss and illegal access. Our technical team regularly upgrades security systems to ensure data security during service cooperation.

2.2.3 Information Storage and Cancellation

We will store your cooperation information and project data during the service cycle and the statutory retention period. After the end of the cooperation and the expiration of the statutory retention period, we will take initiative to encrypt and clean up your relevant data. You have the right to consult, modify and apply for the deletion of your personal and project information at any time.

This privacy policy complies with GDPR, CCPA and other international data protection regulations, ensuring that your data rights and privacy security are fully protected.

3. Refund and Exchange Policy

This Refund and Exchange Policy is specially formulated for our software development customized services, applicable to all software customization, development, upgrade and maintenance projects of our company. Due to the customized and personalized nature of software development services, all projects are developed according to the exclusive requirements of clients, and the rules of refund and exchange are different from physical products. The specific provisions are as follows:

3.1 Refund Rules

3.1.1 Voluntary Refund by the Client

After the project is confirmed and the development is started, if the client applies for a refund voluntarily due to personal/business reasons (non-quality problems of our services), we will calculate the refund amount according to the actual project progress: (1) If the project has not started after payment, 90% of the paid amount will be refunded (deducting 10% of the project reservation and technical preparation cost); (2) If the project is in the middle of development, the refund amount will be calculated by deducting the actual workload cost, technical cost and labor cost generated in the early stage from the total payment; (3) After the project development is completed and delivered, no voluntary refund application will be accepted.

3.1.2 Refund for Service Quality Problems

If the software functions delivered by us seriously do not conform to the requirement document confirmed by both parties, or there are serious technical bugs that cannot be repaired within the agreed time limit, we will take the initiative to provide free technical modification, function optimization and bug repair services. If the core functions still fail to meet the client’s confirmed requirements after multiple repairs, both parties will negotiate a partial refund or full refund according to the actual situation of the project.

3.1.3 Non-Refundable Situations

We do not support refunds in the following situations: (1) The client changes the demand unilaterally during the development process and is dissatisfied with the original development effect; (2) Software failures and function errors are caused by the client’s unauthorized modification of code, improper operation, third-party software interference or data loss; (3) The client delays in confirming requirements, testing and accepting the project, resulting in project delay and personal dissatisfaction; (4) Free after-sales maintenance services and technical consulting services do not support cash refund.

3.2 Exchange and Adjustment Policy

Due to the customization characteristics of software development, there is no “product exchange” service for physical products. Instead, we provide professional demand adjustment and function optimization services: (1) In the early stage of project development, if the client needs to adjust partial functional requirements, we will adjust the development scheme free of charge within the minor adjustment scope; (2) If the client needs to carry out large-scale function modification, demand overturn or technical scheme adjustment, both parties will negotiate the incremental cost and development cycle separately; (3) After the project delivery, within the free warranty period, we provide free bug repair and minor function optimization services; (4) For software version upgrade, function expansion and system iteration after project acceptance, we provide preferential customized adjustment services for old clients.

3.3 Refund Processing Cycle

After both parties confirm the refund amount and refund scheme, we will complete the financial review and refund transfer within 7-15 working days. The arrival time of the refund shall be subject to the processing cycle of the client’s payment channel and bank institution.

4. Supplementary Provisions

We reserve the right to update and revise the above three policies in real time according to business development and legal regulation updates. The revised policies will be published on the official website, and will take effect automatically after publication. Continued use of our website and services by you means acceptance of the updated policies.

If any clause of the above policies is deemed invalid due to legal regulations, the validity of other clauses will not be affected. All cooperation disputes shall be settled through friendly negotiation by both parties; if the negotiation fails, both parties can submit to the jurisdiction institution agreed in the contract for settlement.
